Standard Terms & Conditions
1. Scope of Work
The estimate or invoice covers only the work and services explicitly described. Any modifications, unforeseen issues, or additional requests require either a signed Change Order or a good faith agreement where both parties have clearly communicated and acknowledged the revised scope of work. Such changes may result in additional costs or timeline adjustments. All work will be completed in accordance with local building codes and regulations.
2. Pricing & Validity
All pricing includes labor and materials unless otherwise specified. Estimates are based on current project conditions and material costs at the time of issuance. Proposals are valid for 30 days from the issue date; after this, pricing and availability may be subject to change. Material pricing is subject to market fluctuations and is outside the control of RND Developers LLC. Any increases in material costs will be reflected in the final invoice. Pricing is based on professionally prepared Site Plans, Surveys, and Blueprints. If these documents are not provided, additional costs may arise due to reliance on estimated measurements and assumptions. RND Developers LLC is not a licensed engineering or architectural firm and does not provide engineering or architectural services. Final costs may vary due to customer selections, changes in scope, or unforeseen site conditions.
3. Payment Terms
Payments are due Net 7 (seven days) from the invoice date, unless otherwise stated in the agreement. Final payment is due upon substantial completion of the project. Late payments will incur a 5% monthly late fee on the outstanding balance. Accepted payment methods: check, ACH, or wire transfer. Credit card payments will incur a 4% processing fee. Work may be paused or terminated if payments are not received as scheduled.
4. Cancellations
Cancellations made within 7 days of the scheduled start date may result in loss of scheduling priority and additional fees. RND Developers reserves the right to cancel or reschedule work if conditions are unsafe or if payment terms are not met.
5. Change Orders
Any changes to the approved scope of work must be requested in writing or agreed to in good faith, where both parties have clearly communicated and acknowledged the revised scope of work. A formal Change Order will document adjustments to cost, materials, or timeline resulting from client requests or unforeseen conditions. Increases in material pricing due to market fluctuations may also result in an adjustment to the final invoice. Such adjustments do not require a formal Change Order, as they are outside the control of RND Developers LLC. All other modifications must be signed and approved by both parties before additional work proceeds.
6. Access & Utilities
The client is responsible for providing clear access to the jobsite. Electricity and water must be available for use during construction. Trash and construction debris will be managed by RND Developers, with a final site cleanup upon project completion.
7. Permits, Approvals & Compliance
Unless otherwise stated, the client is responsible for obtaining permits, zoning approvals, HOA compliance, and property line verification. RND Developers will coordinate required inspections as needed. Delays due to permitting, inspections, or third-party approvals are outside RND Developers’ responsibility.
8. Delays & Force Majeure
Estimated start and completion dates are subject to change due to weather, material availability, permitting, inspections, or other unforeseen factors. If the project is paused for reasons beyond RND Developers’ control (e.g., material shortages, inspection delays), additional costs may apply. RND Developers is not liable for delays or non-performance caused by events beyond our control, including natural disasters, government actions, or supply chain disruptions.
9. Liability & Warranty
RND Developers is not responsible for damages caused by unauthorized third-party work on the jobsite. A 1-year limited workmanship warranty is provided from the date of substantial completion. The warranty covers labor only, excluding natural wear, misuse, client-supplied materials, third-party alterations, or acts of nature. Any defects must be reported in writing within 30 days of project completion.
10. Ownership of Materials
Materials purchased by RND Developers remain the property of the company until full payment is received. Failure to pay may result in suspension of work or removal of materials. Client-supplied materials must be pre-approved by RND Developers and are not covered under warranty. Custom finishes, fixtures, or layouts must be finalized before the related phase of work begins.
11. Punch List
A final walkthrough will be completed at substantial completion. Punch list items will be addressed upon receipt of final payment.
12. Dispute Resolution
Any invoice or workmanship disputes must be submitted in writing within 15 days of invoice issuance or project completion. Both parties agree to attempt resolution through direct communication, then mediation. If unresolved, binding arbitration will be conducted in the State of Florida in accordance with applicable laws.
13. Insurance & Risk Allocation
If the client is pulling the permit as Owner-Builder, they are responsible for securing and maintaining Owner-Builder Insurance before work begins. RND Developers will verify proof of this insurance before starting work. The client is responsible for maintaining property insurance covering the project location, including protection against fire, theft, vandalism, or other damage during construction. RND Developers is not liable for loss or damage to personal property left on the jobsite.
14. Safety & Site Conditions
The client must ensure the jobsite is free of hazards before work begins. Children, pets, and unauthorized individuals must be kept away from the construction area for safety reasons. RND Developers reserves the right to stop work if unsafe conditions are present.
15. Client Responsibilities
The client must make timely decisions on finishes, layouts, and selections to prevent delays. Failure to provide necessary information or approvals on time may extend the project timeline and increase costs.
16. Termination of Agreement
Either party may terminate the agreement in writing if the other party materially breaches the contract and fails to remedy the breach within 7 days of receiving notice. If terminated by the client, RND Developers will be compensated for all completed work and materials purchased to date.
17. Entire Agreement
These Terms & Conditions, along with the estimate, invoice, or signed proposal, constitute the entire agreement between RND Developers and the client. No verbal agreements or side promises are enforceable unless added in writing and agreed by both parties. Good faith conversations and documented messages (such as email or text) may be recognized as part of the agreement if they clearly show mutual understanding.
18. Communication
The primary method of communication will be email and/or text messages to maintain a written record. The client agrees to respond to communications in a timely manner to avoid delays.
19. Materials & Substitutions
RND Developers reserves the right to substitute materials of equal or greater quality if specified materials become unavailable, provided the client is notified.
20. Site Access & Storage
The client grants RND Developers and its subcontractors access to the property for the purpose of performing the work. A designated area for material storage and equipment staging must be provided by the client, if applicable.
21. Confidentiality
Both parties agree not to disclose project details, pricing, or documentation to outside parties without prior written consent, except as required for permitting, financing, or legal compliance.
22. Governing Law & Venue
This agreement shall be governed by and construed in accordance with the laws of the State of Florida. Any arbitration or legal proceedings will be conducted in the county where the project is located.
23. Photographs & Marketing Use
RND Developers may take photographs or videos of the project for progress documentation and marketing purposes, unless the client objects in writing before work begins.
24. Severability
If any provision of this agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
25. Lien Rights (Florida)
RND Developers retains the right to file a mechanic’s lien on the property if payment is not received in accordance with these Terms & Conditions, as provided under Florida law.
26. Limitation of Liability for Property Damage
We are not responsible for any damages to driveways, lawns/grass, landscaping, or any unknown underground pipes, utilities, or structures that may be encountered during the course of our work. Property owners are responsible for identifying and disclosing any known underground utilities or structures prior to the commencement of services.
